4Entity Investment Threshold: Any person, acting for its own account or the accounts of other qualified purchasers, who in the aggregate owns and invests on a discretionary basis not less than $25,000,000 in investments.
5Investment Manager: Any person who is acting as a qualified institutional buyer as defined in Rule 144A under the Securities Act of 1933, or a registered investment adviser under the Investment Advisers Act of 1940.

Net worth may include assets such as secondary real estate, brokerage and investment accounts, retirement accounts (IRA, 401(k)), cash and bank deposits, business ownership interests, and other investments — minus any outstanding liabilities.
2AUM Threshold: Has at least $1,400,000 under management with the investment adviser immediately after entering into the advisory contract.
3Knowledgeable Employee: A "knowledgeable employee" of the adviser, including executive officers, directors, trustees, general partners, and persons who have participated in the adviser's investment activities for at least 12 months.
